Welcome to vLane.com, which is provided to you by MotoMozo Incorporated (“MotoMozo”) (either "we," or "us"). vLane.com and all services provided by us or any partners through vLane.com are collectively referred to herein as the "Site."

YOUR AFFIRMATIVE ACT OF USING THE SITE SIGNIFIES THAT YOU AGREE TO THE FOLLOWING TERMS OF SERVICE ("TERMS OF SERVICE"), YOU CONSENT TO THE INFORMATION COLLECTION AND DISCLOSURE PRACTICES PROVIDED IN THE VLANE.COM PRIVACY POLICY, AND YOU CONSENT TO RECEIVE REQUIRED NOTICES AND TO TRANSACT WITH US ELECTRONICALLY. IF YOU DO NOT AGREE, DO NOT USE VLANE.COM.

  1. Personal Use Only. The Site is made available for your personal, non-commercial use only. You may not use the Site to sell a product or service or for any other commercial purposes, including, but not limited to, advertising sales. In addition, you may not use any Site search results or any other information appearing on the Site or conduct any automated queries of the Site without MotoMozo's express written permission. You may not use any data mining, robots, or similar data gathering and extraction tools, frame any portion of the Site, or reproduce, meta-search, publicly display, broadcast, transmit, modify, sublicense, assign, transfer, sell, loan, or otherwise distribute the Site or any content appearing on the Site without the prior written permission of MotoMozo. If you want to make commercial use of the Site, you must enter into an agreement with us to do so in advance. Please contact us for more information.

  2. Electronic Delivery of Notices. You agree that we may provide to you any required notices or other information related to the Site or us electronically, including on or through the applicable Site web page or service. If you do not consent to electronic delivery of notices, you must not use the Site.

  3. Privacy Policy. The vLane.com Privacy Policy explains the information collection and disclosure practices that apply to you by using the Site. Your use of the Site indicates your acceptance of the vLane.com Privacy Policy, which can be accessed by clicking on the Privacy Policy hypertext link located at the bottom of our web pages.

  4. Third Party Sites. The Site may be adapted for use by certain third party affiliates and distribution partners, as agreed to by MotoMozo. Such adapted versions of the Site are also governed by these Terms of Service. In addition, we have no control over the specific sites displayed as search results or otherwise linked to via the Site. These sites may contain content that you find objectionable, inappropriate, or offensive, and we bear no responsibility for the content of any such site.

  5. Your Responsibility and Use of the Site. You agree to use the Site for lawful purposes only and to not violate the terms and conditions of these Terms of Service. You agree to not undertake any act or omission that could damage, disable, overburden, or impair our servers or networks, or interfere with any other party's use and enjoyment of the Site. You may not attempt to gain unauthorized access to any services, user accounts, computer systems or networks, through hacking, password mining or any other means. You agree not to: (i) submit any content to the Site that may be offensive or harassing to any other Site users, or that may be considered pornographic or sexually explicit; (ii) engage in any conduct that violates or infringes the rights of others, including without limitation any intellectual property or proprietary rights; (iii) engage in any activity that involves the transmission of unsolicited commercial messages; (iv) engage in any activity or submit any content that encourages or facilitates others to violate these Terms of Service or otherwise engage in illegal or inappropriate activity; (v) decompile, reverse engineer, disassemble, or otherwise attempt to obtain the source code for the Site or any software utilized by the Site; (vi) submit content that contains restricted password-only or hidden pages or images; or (vii) submit any content that contains viruses or any other computer code, files or programs that interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment, or otherwise permit the unauthorized use of a computer or computer network.

  6. Proprietary Rights. All information and content available on this Site is protected by copyright and other intellectual property laws. You may not reproduce, sell, publish, distribute, modify, display, perform, re-post or otherwise use any portion of any information or content on the site in any other way or for any other purpose without the prior written consent of the owner of such information or content. You acknowledge that the Site includes certain trademarks and service marks owned by MotoMozo. The look and feel of our color combinations, button shapes, and other graphical elements on the Site are our trademarks. You agree not to copy, use or otherwise infringe upon or dilute these trademarks or service marks. You further agree that you will not alter or remove any trademark, copyright or other notice from any information or content. All software programming, including without limitation all HTML and other code contained in this Site (collectively, "Software"), is owned by MotoMozo and/or its licensors and is protected by copyright laws and other intellectual property laws, as well as international treaty provisions. Any unauthorized access to, reproduction, redistribution, publication, display or other use of the Software is expressly prohibited by law and may result in severe civil and/or criminal penalties. Violators will be prosecuted to the maximum extent possible.

  7. User Posted Material and Discussion Forums. The Site allows you to post content to certain areas of the site, including without limitation user forums and discussion areas ("Forums"). You may not post any content that violates these Terms of Service. You grant MotoMozo and any affiliates, partners, or distributors a royalty-free, perpetual, irrevocable, fully assignable and sublicensable right to use, copy, display, perform, distribute, adapt and promote this content in any medium. You agree that we are not liable for any content provided to us by third parties. We have no duty to pre-screen content, but we have the right to refuse to post or to edit submitted content. We reserve the right to remove content for any reason, but we are not responsible for any failure or delay in removing such material. You agree that we may attribute to you any content submitted by you, including by using your picture, city, and/or Site user name, unless you expressly request to not have the content attributed to you during the submission process.

    We do not endorse the accuracy or reliability of any advice, opinion, statement or information posted in any Forums. Please use your best judgment, and be respectful of other individuals using these Forums. By posting a message in the Forum, you agree to abide by these Terms of Service. By using the Site, you expressly agree that we will not be liable to any claims, actions or judgments arising out of or related to any content posted in a Forum.

  8. No Guarantees or Warranties. The Site is intended for informational purposes only. We do not sell any vehicles and are not a party to any vehicle sales. We provide the Site as is, with all faults and as available. We disclaim any and all responsibility or liability for the accuracy, content, completeness, legality, reliability, or operability or availability of information or material displayed on or through the Site. We disclaim any responsibility for the deletion, failure to store, mis-delivery, or untimely delivery of any information or material. We disclaim any responsibility for any harm resulting from downloading or accessing any information or material on or through the Site. We disclaim any responsibility for any services or data provided by third parties on or through the Site.

    WE AND OUR PARTNERS MAKE NO EXPRESS WARRANTIES OR GUARANTEES TO THE EXTENT PERMITTED BY LAW, WE AND OUR PARTNERS DISCLAIM ANY IMPLIED WARRANTIES THAT THE SITE AND ALL SOFTWARE, CONTENT AND SERVICES DISTRIBUTED THROUGH THE SITE ARE MERCHANTABLE, OF SATISFACTORY QUALITY, ACCURATE, TIMELY, FIT FOR A PARTICULAR PURPOSE OR NEED, OR NON-INFRINGING. WE DO NOT GUARANTEE THAT THE SITE WILL MEET YOUR REQUIREMENTS, IS ERROR-FREE, RELIABLE, WITHOUT INTERRUPTION OR AVAILABLE AT ALL TIMES. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY US OR OUR REPRESENTATIVES SHALL CREATE A WARRANTY. You may have additional consumer rights under your local laws that this contract cannot change. We do not (a) guarantee or ensure any vehicle or any transaction between a buyer and seller, (b) collect or process payment or transfer of title on behalf of buyers or sellers, or (c) warehouse, store, ship or deliver any vehicles.

  9. Limitation of Liability. YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DISPUTE WITH US IS TO DISCONTINUE YOUR USE OF THE SITE. IN NO EVENT SHALL OUR LIABILITY RELATING TO THE USE OF THE SITE OR THESE TERMS OF SERVICE EXCEED $100. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF, INABILITY TO USE, OR RELIANCE UPON THE SITE. THESE EXCLUSIONS APPLY TO ANY CLAIMS FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, EVEN IF WE KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW. IN ADDITION, IN THE EVENT OF A DISPUTE RELATED TO THE PURCHASE OR LEASE OF A VEHICLE LISTED ON THE SITE, YOU RELEASE US FROM ALL CLAIMS, DEMANDS, AND DAMAGES, INCLUDING ACTUAL AND CONSEQUENTIAL DAMAGES, OF ANY AND ALL KIND ARISING OUT OF OR IN ANY WAY CONNECTED TO SUCH DISPUTE.

  10. Indemnification and Representations. Upon a request by us, you agree to defend, indemnify, and hold harmless us and other affiliated companies, and our respective employees, contractors, officers, directors, and agents from all liabilities, claims, and expenses, including attorney's fees that arise from your use or misuse of the Site. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses. You hereby represent and warrant that (a) you have all necessary authority, rights and permissions to submit any content to the Site, (b) such content does not and will not infringe or misappropriate any copyright, trademark, trade secret, patent or other intellectual property right of any third party, including any rights of privacy or publicity, and (c) such content does not and will not violate any applicable law or regulation including, but not limited to, any automobile advertising laws or regulations, or cause injury to any person.

  11. Miscellaneous. These Terms of Service will be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to its conflict of laws provisions or your actual state or country of residence. If for any reason a court of competent jurisdiction finds any provision or portion of the Terms of Service to be unenforceable, the remainder of the Terms of Service will continue in full force and effect. These Terms of Service constitute the entire agreement between the parties with respect to the subject matter hereof and supersede and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. Any waiver of any provision of the Terms of Service will be effective only if in writing and signed by us. Your right to use the Site automatically terminates if you violate these Terms of Service at any time. We also reserve the right to terminate your access to the Site in our sole discretion, for any reason, with or without notice.

  12. Copyright Infringement Claims. If you believe that your work has been copied and is accessible on the Site in a way that constitutes copyright infringement, please notify us by providing our copyright agent with the following information:

    • The electronic or physical signature of the owner of the copyright or the person authorized to act on the owner's behalf.
    • A description of the copyrighted work that you claim has been infringed and a description of the infringing activity.
    • Identification of the location where the original or an authorized copy of the copyrighted work exists, for example the URL of the website where it is posted or the name of the book in which it has been published.
    • Identification of the URL or other specific location on this site where the material that you claim is infringing is located; you must include enough information to allow us to locate the material.
    • Your name, address, telephone number, and email address.
    • A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
    • A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or are authorized to act on the copyright owner's behalf.

You are responsible for checking these terms periodically for changes. If you continue to use the Site after we post changes to these Terms of Service, you are accepting the Terms of Service as modified.
